1. Agreement to Terms
By accessing or using FramerFlo ("Service"), operated by Nova Quasar LLC ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you do not have permission to access the Service.
2. Description of Service
FramerFlo is a software-as-a-service (SaaS) platform that provides e-commerce components, tools, and integrations for Framer websites. Our Service includes:
- Pre-built e-commerce components (product cards, shopping carts, checkout forms, etc.)
- Merchant dashboard for managing products, orders, and customers
- Payment processing integrations
- Order management and fulfillment tools
- Customer authentication systems
3. Account Registration
To use FramerFlo, you must:
- Be at least 18 years of age
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized account access
We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.
4. Subscription and Payment
4.1 Free Trial
New users may be eligible for a free trial period. During the trial, you have full access to FramerFlo features. No payment is required until the trial ends.
4.2 Subscription Plans
After your trial period, continued access requires an active paid subscription. Subscription fees are billed monthly in advance. All fees are quoted in USD unless otherwise stated.
4.3 Payment Processing
Payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. By subscribing, you agree to Paddle's terms of service and buyer terms.
4.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You authorize Paddle to charge your payment method on file for recurring subscription fees.
4.5 Price Changes
We reserve the right to modify subscription prices. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increases.
5. Refunds
Refunds are handled by Paddle in accordance with our Refund Policy. If you are not satisfied with the Service, you may request a refund within 14 days of your purchase or subscription renewal. See our Refund Policy for details.
6. Acceptable Use
You agree not to use FramerFlo to:
- Sell illegal products or services
- Engage in fraud, money laundering, or other financial crimes
- Violate intellectual property rights of others
- Distribute malware or malicious code
- Harass, abuse, or harm others
- Send spam or unsolicited communications
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to our systems
- Resell or redistribute the Service without authorization
- Use the Service in violation of any applicable laws
We reserve the right to suspend or terminate access for violations of acceptable use policies.
7. Intellectual Property
7.1 Our Intellectual Property
FramerFlo, including its code, design, features, and documentation, is owned by Nova Quasar LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.
7.2 Your Content
You retain ownership of content you upload to FramerFlo, including product images, descriptions, and store data. By uploading content, you grant us a license to host, display, and process that content as necessary to provide the Service.
7.3 Component Usage
FramerFlo components may be used on websites covered by your active subscription. Components may not be extracted, redistributed, or sold separately.
8. Data and Privacy
Your use of FramerFlo is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Third-Party Services
FramerFlo integrates with third-party services including payment processors, shipping providers, and email services. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for third-party service availability or performance.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA QUASAR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Nova Quasar LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of third parties.
13. Termination
13.1 By You
You may cancel your subscription at any time through your account settings or by contacting Paddle. Cancellation takes effect at the end of your current billing period.
13.2 By Us
We may suspend or terminate your access immediately if you violate these terms or engage in activity that harms the Service or other users.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases. You are responsible for exporting your data before termination. We may delete your data after a reasonable retention period following termination.
14. Modifications to Terms
We may modify these Terms and Conditions at any time. Material changes will be communicated via email or through the Service. Continued use after changes take effect constitutes acceptance of the modified terms.
15. Governing Law
These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the United States.
16. Severability
If any provision of these terms is found unenforceable, the remaining provisions will continue in effect.
17. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Nova Quasar LLC regarding the Service.
